HOST TERMS & PROPERTY OPERATIONS AGREEMENT

Last updated: 19 September 2026

Effective date: 28 May 2026

Version: Consolidated 2026

ARTICLE 1 – SCOPE

This Host Terms & Property Operations Agreement (this “Agreement”) forms part of the wider FARENIO contractual framework governing access to and use of the FARENIO Ecosystem by Hosts, Property Managers, agencies, professional accommodation operators, Enterprise Customers and, where expressly applicable, consumers. The Agreement is operated by GQ VENTURES SAS, trading as FARENIO, and is governed by French law.

The wider FARENIO contractual framework comprises the following documents: Host Terms & Property Operations Agreement; Software-as-a-Service Subscription Agreement; PMS, Channel Manager & API Integration Terms; and Data Processing Agreement (“DPA”).

This Agreement governs the relationship between FARENIO and a Host or Property Manager using FARENIO for property operations, turnover coordination, marketplace services, property-related workflows and associated services.

This Agreement supplements the FARENIO Master CGU/CGV and the applicable Order Form, subscription confirmation or service order.

ARTICLE 2 – CONTRACTUAL HIERARCHY

In the event of inconsistency between the documents making up the FARENIO contractual framework, the following order of precedence applies to the subject matter concerned:

  1. Mandatory applicable law;
  2. Signed Order Form, Enterprise Agreement or individually negotiated terms;
  3. Data Processing Agreement, solely for processing of Personal Data on behalf of a Controller;
  4. PMS/API Integration Terms, for integrations and API connectivity;
  5. SaaS Subscription Agreement, for software services;
  6. Host Terms & Property Operations Agreement, for Host and property operations;
  7. Master CGU/CGV;
  8. Applicable policies and technical documentation incorporated into the contract.

The Privacy Policy governs processing for which FARENIO acts as an independent Controller and does not replace the DPA where FARENIO acts as Processor.

ARTICLE 3 – PURPOSE

These Host Terms govern the relationship between FARENIO and a Host or Property Manager using FARENIO for property operations, turnover coordination, marketplace services, property-related workflows and associated services.

FARENIO operates a digital ecosystem that may facilitate connections and operational coordination between Hosts and independent Service Providers or Vendors.

Unless expressly stated in an Order Form, FARENIO does not become the owner, tenant, operator or property manager of a Host's property merely because the Host uses the Platform.

ARTICLE 4 – HOST STATUS AND AUTHORITY

The Host represents that it:

  • Has legal capacity and authority to enter into the Agreement;
  • Owns, leases, manages or otherwise has lawful authority over each registered property;
  • Has authority to provide property, reservation and access information to FARENIO;
  • Will provide accurate and current information; and
  • Will comply with applicable laws governing its activities.

The Host remains responsible for obligations applicable to its property or accommodation activity, including, where applicable, registration, authorisations, tourism rules, short-term rental rules, taxation, safety and insurance.

FARENIO does not certify the legal status of a property unless expressly contracted to perform a specific verification.

ARTICLE 5 – PROPERTY INFORMATION

The Host shall provide information reasonably necessary for performance of the Services, which may include:

  • Property Address and Type;
  • Bedrooms and Bathrooms;
  • Occupancy Information;
  • Floor and Access Information;
  • Parking Information;
  • Check-In and Check-Out Arrangements;
  • Access Instructions;
  • Operational Requirements;
  • Emergency Contacts; and
  • Service-Specific Instructions.

The Host shall promptly update information that may materially affect service performance.

FARENIO may restrict or suspend a property profile where information is materially inaccurate, unlawful, unsafe or insufficient to perform the requested Services.

ARTICLE 6 – PROPERTY ACCESS

The Host shall provide safe, lawful and timely access to the property.

Access may include keys, smart-lock credentials, temporary access codes, concierge arrangements or other agreed methods.

Access credentials shall be processed and disclosed only to persons who reasonably require access for the authorised service.

Where a service cannot be performed because the Host failed to provide correct or timely access, the applicable cancellation, call-out or failed-visit charge displayed or agreed before the service may apply.

A service shall not automatically be deemed fully performed merely because access was impossible.

ARTICLE 7 – TURNOVER AND PROPERTY OPERATIONS

Services available through FARENIO may include:

  • Turnover Cleaning;
  • Bed Preparation;
  • Linen Coordination;
  • Towel Replacement;
  • Approved Waste Handling;
  • Consumable Restocking;
  • Property-Readiness Checks;
  • Inspection Workflows;
  • Photo Reporting;
  • Maintenance Coordination; and
  • Vendor Coordination.

The precise scope, price and service requirements are those confirmed in the relevant booking, Order Form or service description.

Where services are performed by an independent Service Provider or Vendor, that party remains responsible for performance of its own professional obligations, without prejudice to any separate obligation expressly assumed by FARENIO.

ARTICLE 8 – SAME-DAY TURNOVERS

The Host shall establish reasonable intervals between guest departure and arrival.

Operational schedules may be affected by late guest departures, property condition, access restrictions, traffic, emergency circumstances, Provider availability or events outside the reasonable control of FARENIO.

FARENIO shall use reasonable efforts to coordinate confirmed Services but does not guarantee a particular guest check-in outcome unless expressly agreed in writing.

ARTICLE 9 – LINEN AND INVENTORY

Where selected, linen or inventory workflows may include replacement, collection, storage coordination, stock reporting or replenishment requests.

Unless FARENIO has expressly undertaken inventory ownership or stock-management obligations, the Host remains responsible for maintaining adequate quantities and determining replenishment requirements.

Operational inventory reports are based on information available at the relevant time and do not constitute a physical inventory certification.

ARTICLE 10 – PROPERTY INSPECTIONS

Property inspections performed through FARENIO are operational inspections only unless expressly agreed otherwise.

They may include visual condition checks, readiness checks, inventory observations, damage reporting and safety observations.

They are not structural surveys, engineering reports, statutory safety certifications, property valuations or legal-compliance certifications.

ARTICLE 11 – ACCESS TECHNOLOGY

Where smart locks or other access technology are integrated, the Host remains responsible for compatible hardware, lawful deployment, connectivity, maintenance and configuration unless the applicable Order Form expressly assigns those responsibilities to FARENIO.

Third-party hardware, connectivity or cloud-service failures remain subject to the PMS, Channel Manager & API Integration Terms.

ARTICLE 12 – HOST RESPONSIBILITIES

The Host shall:

  • Provide Accurate Operational and Reservation Information;
  • Maintain Appropriate Communication Channels;
  • Provide Safe Access Conditions;
  • Comply with Applicable Property Laws;
  • Maintain Appropriate Insurance for Its Activities;
  • Use the Platform Lawfully; and
  • Cooperate Reasonably in Investigating Operational Incidents.

The Host shall not misuse the Platform, circumvent applicable Platform payment arrangements, compromise security, impersonate another user or submit unlawful or materially misleading information.

ARTICLE 13 – FEES

The Host shall pay the fees disclosed and accepted for the relevant service, including where applicable:

  • Service Charges;
  • Marketplace Charges;
  • SaaS Subscriptions;
  • Integration Charges;
  • Vendor Charges;
  • Approved Add-Ons; and
  • Properly Disclosed Emergency or Call-Out Charges.

Taxes shall be applied according to applicable law and the tax status of the relevant supplier.

ARTICLE 14 – INCIDENTS AND DAMAGE

A Host should report apparent property damage as soon as reasonably possible after discovery and provide photographs and other available evidence.

A contractual notification period does not extinguish rights that cannot lawfully be excluded merely because a report was submitted after that period.

FARENIO may facilitate communication, evidence collection or claim administration without thereby assuming liability for damage caused by an independent Provider.

ARTICLE 15 – QUALITY ASSURANCE

FARENIO may use checklists, photographs, completion records, reviews, incident records and other quality-control mechanisms.

Such controls support operational monitoring but do not constitute an absolute guarantee that a property will be free from defects or guest complaints.

ARTICLE 16 – INSURANCE

Professional Hosts should maintain insurance appropriate to their property and commercial activities.

The existence of FARENIO's own insurance does not replace insurance that the Host is legally or contractually required to maintain.

ARTICLE 17 – SUSPENSION AND TERMINATION

FARENIO may proportionately restrict or suspend access where reasonably necessary because of:

  • Material Breach;
  • Overdue Undisputed Payments;
  • Fraud or Reasonably Suspected Fraud;
  • Material Security Risk;
  • Unlawful Activity;
  • Danger to Persons or Property; or
  • a Binding Legal or Regulatory Requirement.

Where reasonably possible and legally permissible, FARENIO shall state the reason for suspension and provide an opportunity to remedy a remediable breach.

Immediate action may be taken where necessary for security, fraud prevention, safety or legal compliance.

ARTICLE 18 – LIABILITY

Nothing in this Agreement excludes or limits liability where exclusion or limitation is prohibited by applicable law.

Subject to that principle and except as otherwise agreed in an Order Form, neither party shall be liable to the other for indirect or consequential loss that was not reasonably foreseeable or for loss excluded by a valid contractual limitation.

Any contractual liability cap shall not apply where such limitation is prohibited by applicable law, including where relevant in cases involving fraud, wilful misconduct, liability that cannot legally be limited, or rights of Data Subjects under applicable data-protection law.

For professional Customers, the applicable liability cap shall be the cap specified in the relevant Order Form or commercial terms. In the absence of a specified cap, liability shall be assessed subject to the Agreement and applicable French law.

No limitation shall be interpreted so as to deprive an essential contractual obligation of its substance.

ARTICLE 19 – FORCE MAJEURE

Force majeure shall be assessed in accordance with French law.

The affected party shall notify the other party as reasonably practicable and take reasonable measures to mitigate the consequences.

Third-party failure shall constitute force majeure only where the legal conditions for force majeure are actually satisfied.

ARTICLE 20 – TERMINATION FOR BREACH

Where a material breach is capable of remedy, the non-defaulting party may give written notice requiring remedy within a reasonable specified period.

Termination without a cure period may occur where permitted by law and justified by the seriousness of the breach, including certain fraud, security or unlawful-activity circumstances.

Termination does not extinguish accrued payment obligations, confidentiality obligations, data-protection obligations or provisions intended to survive termination.

ARTICLE 21 – PROFESSIONAL COMMERCIAL RELATIONSHIPS

Nothing in this Agreement authorises conduct contrary to mandatory French rules governing restrictive commercial practices, significant imbalance or abrupt termination of an established commercial relationship.

Where such mandatory rules apply, they prevail over inconsistent contractual provisions.

ARTICLE 22 – CONSUMER RIGHTS

Where a Host or Customer qualifies as a consumer, nothing in this Agreement restricts mandatory rights under the French Consumer Code.

Applicable consumer information, withdrawal rights, mediation rights, renewal information, electronic termination rights and competent-court rules shall prevail over inconsistent provisions.

ARTICLE 23 – DISPUTE RESOLUTION

The parties shall first seek an amicable resolution of a dispute without preventing either party from seeking urgent or protective judicial relief.

Where FARENIO is legally required to provide access to consumer mediation, eligible consumers may refer unresolved disputes to the consumer mediator identified in FARENIO's Consumer Information and CGV after first submitting a written complaint to FARENIO in accordance with applicable requirements.

ARTICLE 24 – GOVERNING LAW

This Agreement is governed by French law, subject to mandatory protections that may apply to a consumer under applicable conflict-of-law rules.

ARTICLE 25 – JURISDICTION

For consumers, jurisdiction shall be determined by mandatory applicable law.

For professional parties that do not both contract in the capacity required for a valid jurisdiction clause under French procedural law, ordinary jurisdiction rules apply.

ONLY WHERE THE LEGAL CONDITIONS FOR AN ATTRIBUTIVE JURISDICTION CLAUSE ARE SATISFIED, INCLUDING WHERE ALL RELEVANT PARTIES CONTRACT AS COMMERÇANTS, THE PARTIES EXPRESSLY AGREE TO THE TERRITORIAL JURISDICTION OF THE COMPETENT COURTS WITHIN THE JURISDICTION OF PONTOISE, SUBJECT TO MANDATORY LAW.

ARTICLE 26 – CHANGES TO CONTRACTUAL TERMS

FARENIO may amend contractual documentation for legal, regulatory, security, technical or operational reasons.

Material changes affecting existing professional subscriptions shall be notified within a reasonable period before taking effect unless immediate implementation is necessary because of law, security or an emergency.

Changes shall not retroactively deprive a party of accrued contractual rights.

Consumer contracts may be modified only in accordance with applicable consumer law.

ARTICLE 27 – SEVERABILITY

If a provision is invalid, unlawful or unenforceable, it shall be ineffective only to the extent required by applicable law.

The remaining provisions shall continue to apply unless the invalid provision was essential to the contractual arrangement and applicable law requires a different result.

ARTICLE 28 – ELECTRONIC CONTRACTING AND EVIDENCE

The Agreement may be concluded electronically.

FARENIO shall maintain appropriate evidence of contractual acceptance, including the applicable version of the terms, date of acceptance and relevant electronic records, in accordance with applicable law.

Where a separate signature or express consent is legally required, general Platform use alone shall not substitute for that requirement.

ARTICLE 29 – ACCEPTANCE

The Host or Customer shall be provided with the contractual documents applicable to the transaction before being bound, in a form appropriate to the transaction and applicable law.

Creation of an account alone does not constitute acceptance of every optional paid service.

A booking, subscription, PMS connection or API activation becomes subject to the contractual provisions specifically applicable to that functionality when validly accepted.

For professional or Enterprise Customers, an Order Form or separately executed agreement may supplement these Terms.

For processing governed by Article 28 GDPR, the Data Processing Agreement forms part of the binding contractual arrangement between the Controller and FARENIO.
